Terms of Service

Please read these Terms of Service ("Terms") carefully before using Kynoras ("the Service") operated by Kynoras Inc. ("us", "we", "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account and using Kynoras, you confirm that you are at least 16 years old, have read and understood these Terms, and agree to be bound by them. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Description of Service

Kynoras is a client management platform for freelancers and agencies that provides tools for creating proposals, signing contracts, sending invoices, collecting payments, and communicating with clients. The Service is provided on a subscription basis with a free tier available.

3. Account Registration

To use the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your password and account
  • Promptly notify us of any unauthorized use of your account
  • Not share your account credentials with any third party
  • Create only one account per person (additional accounts to circumvent plan limits are prohibited)

4. Subscription Plans and Payments

4.1 Free Plan

The Starter plan is free and includes up to 2 active clients and 5 proposals per month. No credit card is required.

4.2 Paid Plans

Pro ($19/month) and Agency ($59/month) plans are billed on a recurring basis via Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.

4.3 Free Trial

Paid plans include a 14-day free trial. You will not be charged until the trial period ends. You may cancel at any time during the trial without being charged.

4.4 Cancellation and Refunds

You may cancel your subscription at any time from the Settings → Billing page. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods. In exceptional circumstances, contact [email protected].

5. Acceptable Use Policy

You agree not to use the Service to:

  • Send spam, unsolicited emails, or any form of unauthorized communications
  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Transmit malicious code, viruses, or any harmful software
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Use the Service for fraudulent purposes, including creating fake invoices or contracts
  • Abuse the free tier by creating multiple accounts to avoid paid plan limits
  • Reverse engineer, decompile, or disassemble any part of the Service

6. Your Content

You retain ownership of all content you create or upload to the Service, including proposals, contracts, and client data. By using the Service, you grant us a limited license to store, process, and display your content solely to provide the Service to you.

You are solely responsible for the accuracy, legality, and appropriateness of all content you create. We do not review or endorse any user-generated content.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Third-Party Services

The Service integrates with third-party services including Stripe (payments), Google OAuth, GitHub OAuth, and Resend (email). Your use of these services is governed by their respective terms of service. We are not responsible for the practices of these third parties.

9. Intellectual Property

The Service, including its design, code, features, and branding, is owned by Kynoras Inc. and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KYNORAS INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Termination

We may terminate or suspend your account at any time if you violate these Terms. Upon termination, your right to use the Service will immediately cease. You may request an export of your data within 30 days of termination.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes shall be resolved in the courts of the jurisdiction where Kynoras Inc. is incorporated.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify registered users of material changes by email. Continued use of the Service after changes constitutes acceptance of the new Terms.
